CEdMA Enterprise Terms and Conditions (Version 1, 12 June 2024)
## 1. Introduction Welcome to CEdMA Enterprise, the trading name of CEdMA Europe, Registered in England Number 2950000. By subscribing to our services or purchasing conference seats, you agree to comply with and be bound by the following terms and conditions. These terms govern your use of our services and form a legal agreement between you and CEdMA Europe Limited. Please read them carefully. ## 2. Definitions **"CEdMA Enterprise"**: Refers to the service provider, its employees, agents, and affiliates. **"Member"**: An individual or entity who purchases an annual subscription or conference seats. **"Partner"**: An entity that subscribes to CEdMA Enterprise's services on a term basis. **"Services"**: The annual subscriptions, conference seats, and any other products or services provided by CEdMA Enterprise. **"Subscription"**: The annual or term-based membership purchased by Members or Partners. **"Agreement"**: Refers to these terms and conditions. ## 3. Membership and Subscription ### 3.1 Annual Subscriptions - Members can purchase an annual subscription to access CEdMA Enterprise services. - The subscription fee is payable annually in advance and is non-refundable, except as provided in Section 6. - Subscription renewal is automatic unless cancelled by the Member at least 30 days prior to the renewal date. ### 3.2 Conference Seats - Members can purchase seats for CEdMA Enterprise conferences separately or as part of their annual subscription. - Conference seat purchases are subject to availability and are non-refundable. ### 3.3 Partner Term Subscriptions - Partners subscribe to CEdMA Enterprise services on a term basis, as agreed upon in the subscription contract. - The term and associated fees will be defined in the subscription agreement with the Partner. - Term subscriptions are payable in advance and are non-refundable, except as provided in Section 6. ## 4. Payment - Payment for all subscriptions and services must be made via the payment methods specified on the CEdMA Enterprise website. - Failure to make timely payments may result in the suspension or termination of your subscription and access to services. ## 5. Use of Services - Services provided by CEdMA Enterprise are for the exclusive use of the subscribing Member or Partner and cannot be transferred or shared without written consent from CEdMA Enterprise. - Members and Partners must use the services in compliance with all applicable laws and regulations. - Misuse of the services, including but not limited to unauthorised sharing or distribution of content, may result in termination of the subscription without refund. ## 6. Cancellation and Refund Policy ### 6.1 Member Cancellation - Members may cancel their annual subscription at any time by providing written notice to CEdMA Enterprise. - If a Member cancels within 14 days of the initial subscription, they are entitled to a full refund, provided no services have been used. - Cancellations after the 14-day period will not be refunded. ### 6.2 Partner Cancellation - Partners may cancel their term subscription as per the terms outlined in their specific subscription agreement. - Refunds for Partners will be handled as per the agreed terms in the subscription agreement. ### 6.3 Conference Seats - Conference seat purchases are non-refundable unless the event is cancelled by CEdMA Enterprise, in which case a full refund will be provided. ## 7. Limitation of Liability
- CEdMA Enterprise will not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the services. - The total liability of CEdMA Enterprise for any claim related to this Agreement shall not exceed the amount paid by the Member or Partner for the subscription in the preceding 12 months. ## 8. Intellectual Property - All content provided by CEdMA Enterprise, including but not limited to text, graphics, logos, and software, is the property of CEdMA Enterprise and protected by applicable intellectual property laws. - Members and Partners are granted a limited, non-exclusive licence to access and use the content for personal or internal business purposes only. ## 9. Governing Law - These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. - Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales. ## 10. Amendments - CEdMA Enterprise reserves the right to amend these terms and conditions at any time. Any changes will be effective immediately upon posting on the CEdMA Enterprise website. - Continued use of the services following the posting of changes constitutes acceptance of those changes. ## 11.
